1. INTRODUCTION

These Terms & Conditions ("Agreement") form a legally enforceable electronic contract under Section 10A of the Information Technology Act, 2000 (India).

By accessing or using Speedo Express Website, App, or Logistics Services, the User confirms unconditional acceptance of these Terms.

2. PLATFORM ROLE & SERVICE NATURE

Speedo Express:

  • Acts strictly as a digital logistics intermediary marketplace, enabling transport and delivery connections.
  • Does not operate as a carrier, does not guarantee delivery timelines, and is not liable for operational execution by drivers or fleet owners.
  • Does not provide or promise insurance for goods, vehicles, or personal safety unless separately documented.

3. USER CATEGORIES & ACCESS PRIVILEGES

3.1 Clients (Users / Customers)

Clients may:

  • Register and maintain a profile
  • Book logistics vehicles by submitting pickup/drop location, goods details, and required vehicle type
  • Track booking status, rate orders, and raise support requests
3.2 Drivers (Service Partners)

Drivers may:

  • Receive booking notifications based on proximity & serviceability
  • Accept or reject orders within platform-defined time constraints
  • Upload vehicle photos for profile verification
  • Receive earnings via Bank Transfer or App Wallet (after commission deduction)
3.3 Fleet Owners (Multi-Vehicle Managers)

Fleet Owners may:

  • Register as individuals or businesses
  • Manage multiple driver/vehicle profiles under Fleet Dashboard
  • Receive and assign logistics bookings
  • Receive consolidated daily settlements after commission deduction

4. REGISTRATION, KYC & DATA SECURITY

4.1 Client Registration Requirements

Mandatory data: Name, Phone Number (OTP verified), Email ID, Password (encrypted storage), Location (optional or live for drivers)

4.2 Driver & Fleet Owner Verification (KYC Mandatory)

Collected & Verified documents:

  • Driver License (DL)
  • Vehicle Registration Certificate (RC)
  • Commercial Permit Proof (if applicable)
  • Vehicle Image Upload

Documents are stored confidentially with encrypted admin access, compliant with IT (SPDI) Rules, 2011.

4.3 Account Restrictions
  • Accounts are non-transferable, non-assignable
  • Fake, forged, or expired documents lead to immediate suspension
  • Impersonation, scraping, hacking, or API abuse is strictly prohibited under Indian Cybersecurity Laws

5. BOOKING, NOTIFICATIONS & AUTO-CANCELLATION

5.1 Booking Flow
  1. Client submits logistics request
  2. Nearby drivers receive real-time notification
  3. Driver must accept within limited time constraint
  4. If no driver accepts OR non-serviceable location OR vehicle mismatch → request auto-cancelled
  5. If driver accepts and reaches pickup, a service contract is formed between Client ↔ Driver/Fleet Owner, not the Company
5.2 Cancellation Fee

Charged only if Client cancels after driver reaches pickup location. Fee is non-refundable, governed under Company's internal partner policy accepted before registration.

6. PAYMENTS, COMMISSION & SETTLEMENT

6.1 Payment Methods
  • Online Payments via Razorpay Gateway (RBI + PCI-DSS compliant)
  • Cash Payment accepted if online mode fails
  • Company does not store banking PIN or full card credentials
6.2 Commission & Earnings
  • Commission is deducted before payout
  • Accepted during registration by Drivers & Fleet Owners
  • Fare logic remains Company confidential proprietary trade secret
6.3 Settlement Cycle

Drivers & Fleet Owners receive daily settlements via:

  • NEFT
  • UPI
  • App Wallet Credits

Earnings reflect post-commission deductions

7. USER GENERATED CONTENT (UGC) LICENSE

By uploading photos, ratings, or feedback, User grants Speedo Express a perpetual, global, royalty-free, non-exclusive digital usage license. Company may moderate or remove content violating IT Rules or Cyber laws.

8. PROHIBITED ACTIVITIES

Users/Partners must not:

  • Abuse, harass, or threaten platform users
  • Upload unlawful, obscene, defamatory, or copyright-violating content
  • Make fake or fraudulent bookings
  • Attempt hacking, scraping, malware upload, or unauthorized automation
  • Request or transport illegal or banned goods (See Appendix A)

9. LIABILITY LIMITATION & INDEMNITY

9.1 Speedo Express Liability
  • Platform is provided AS-IS
  • No liability for goods damage, accidents, delays, driver negligence, or fleet partner conduct
9.2 Partner (Driver/Fleet Owner) Indemnity

Partners indemnify Speedo Express against:

  • Accidents
  • Goods loss/damage claims
  • Unsafe driving claims
  • Regulatory/legal violations
9.3 Client Indemnity

Clients indemnify Speedo Express for:

  • Fake bookings
  • Illegal goods requests
  • Payment fraud
  • Harassment or platform misuse

10. TERMINATION & ACCOUNT DEACTIVATION

Accounts may be terminated for:

  • Fake/forged/expired KYC
  • Unsafe or unlawful conduct
  • Payment violations
  • Repeated abusive cancellations
  • Low ratings or verified complaints
  • Cybersecurity or IT breach

11. SUPPORT & GRIEVANCE REDRESSAL

Support available via Email, Phone, and In-app chat.

A Grievance Officer is appointed as required under IT Rules, 2021.

12. ARBITRATION CLAUSE

Unresolved disputes are subject to binding Arbitration seated in India, governed by Arbitration & Conciliation Act, 1996. Decision is enforceable and final.

13. INTELLECTUAL PROPERTY, SOFTWARE & DESIGN PROTECTION

13.1 OWNERSHIP OF PLATFORM ASSETS

All digital, technical, and creative components of the Speedo Express ecosystem are the exclusive property of SPEEDOEXPRESS PRIVATE LIMITED, including:

A. Brand & Creative IP

  • Logos, wordmarks, business identity, visual language, design systems
  • Color palettes, typography systems, iconography, layout compositions
  • Brand Guidelines, UI/UX concepts, motion design, template kits
  • Web/App interface design, design prototypes, wireframes, and interaction models

B. Software & Technical IP

  • Mobile App source code, compiled builds, backend logic, API structure
  • Database schemas, data architecture, system workflows, automation logic
  • Proprietary algorithms for vehicle allocation, pricing logic, and booking distribution
  • Wallet system structure, settlement automation, notification routing engine
  • Crash analytics, user flow tracking logic, session management system
  • All platform-generated data, metadata, logs, system outputs
13.2 DATABASE & DATA RIGHTS

The Platform asserts full ownership of:

  • Database structure, tables, field mappings, stored datasets
  • Driver location index, booking pool data, fleet mapping matrix
  • System-generated logistics network intelligence
  • User behavior insights, delivery ratings, transaction audit trails
  • App interaction analytics and stored communications
13.3 LICENSE GRANTED TO USERS

Speedo Express grants Users a limited, non-exclusive, non-transferable, revocable license strictly for accessing logistics booking and fleet management services.

Users DO NOT have rights to:

  • Copy, clone, distribute, resell, modify, or create derivative interfaces
  • Extract or rebuild database structures, logistics network logic, or app design concept
  • Reverse engineer, decompile, disassemble, or attempt source reconstruction
  • Scrape UI elements, content, driver data, API endpoints, or database records
  • Use automation tools, bots, crawlers, or API replication scripts without written authorization
13.4 PROTECTION OF UI/UX AND DESIGN CONCEPT

The Company asserts full and perpetual ownership over the User Interface (UI), User Experience (UX), Design Language, and Interaction Framework. Even in cases where design files are accessible, the underlying design concept and visual system architecture are not licensed for external commercial replication.

13.5 TRADEMARK & COPYRIGHT ENFORCEMENT

The Company reserves the right to take action against any infringement, including:

  • DMCA-style takedown notices
  • Legal cease-and-desist directives
  • Platform access termination
  • IP blocking, device fingerprint blacklisting
  • Civil or criminal action under Indian IT & Cyber laws
  • Compensation claims for digital theft or design replication
13.6 CONFIDENTIAL BUSINESS & TECHNICAL SECRETS

The following remain strictly Company Trade Secrets:

  • Fare computation matrix
  • Commission percentages
  • Driver payout formula
  • Vehicle allocation engine logic
  • Notification radius and priority distribution algorithm
  • Backend admin decision rules for serviceability
  • Logistics matching heuristics
13.7 SECURITY OF APP DATA & SYSTEM INTEGRITY

Users must not attempt to compromise platform integrity, including:

  • Injecting malicious code, malware, ransomware, or payload scripts
  • Intercepting network traffic, API calls, or database queries
  • Tampering with app behavior, deep links, authentication, or wallet system
  • Conducting penetration attempts, DDoS, load abuse, or data mining
  • Using modified APK/IPA builds, patched apps, or proxy request tools

14. INTELLECTUAL PROPERTY CONSENT (FOR DRIVERS/FLEET OWNERS)

During registration, Drivers/Fleet Owners acknowledge that vehicle images uploaded are licensed to Speedo for display and verification. They hold rights to the images they upload and indemnify the Company if false copyright claims arise.

15. DIGITAL CONSENT & IP ACKNOWLEDGMENT

By using the platform, Users acknowledge Speedo Express owns all App data, UI/UX design concept, backend architecture, database compilation, automation workflows, and system-generated logistics intelligence. No extraction, reproduction, or commercial reuse is permitted.

16. FINAL USER CONSENT

By continuing to use the Speedo Express platform, the User confirms:

  • They accept all clauses
  • They will not request transport of banned goods
  • They acknowledge Speedo Express is not liable for service execution risks
  • They consent to data storage and minimal operational data sharing
  • They accept commission deductions before payout
  • They accept arbitration in India for disputes

APPENDIX A: HAZARDOUS / BANNED GOODS LIST

Speedo Express strictly prohibits bookings or transport requests involving the following categories:

Absolute Banned Goods
  • Narcotics, drugs, psychotropic substances
  • Explosives, ammunition, firearms, weaponry
  • Counterfeit currency, illegal financial instruments
  • Stolen, fraud-linked, or illegally sourced goods
  • Any items prohibited under Indian Law Enforcement Directives
Restricted & Hazardous (Not allowed on platform)
  • Flammable liquids (Petrol, Diesel, Kerosene, etc.)
  • Compressed gases (LPG cylinders, industrial gas tanks, etc.)
  • Toxic chemicals, corrosive acids, industrial solvents
  • Bio-hazardous materials, medical waste
  • Radioactive substances
  • Industrial hazardous waste
  • Sharp or dangerous unpacked objects
  • Improperly packaged fragile goods (risk of damage claims)
Packaging Compliance Requirement

Even for allowed goods, bookings may be rejected if:

  • Packaging is unsafe, open, leaking, or fragile without protection
  • Goods pose risk to driver, vehicle, or public safety
  • Misdeclared goods detected by admin or delivery partner
