1. INTRODUCTION

These Terms & Conditions ("Agreement") form a legally enforceable electronic contract under Section 10A of the Information Technology Act, 2000 (India).

By accessing or using SpeedoGo Website, App, or Delivery Services, the User confirms unconditional acceptance of these Terms. SpeedoGo is a brand and service vertical of SPEEDOEXPRESS PRIVATE LIMITED.

2. SERVICE NATURE & PLATFORM ROLE

SpeedoGo:

  • Acts strictly as a digital marketplace facilitating on-demand delivery of grocery, stationery, cosmetics, gifts, and everyday essentials from local stores and vendors.
  • Does not manufacture, store, warehouse, or own any inventory. SpeedoGo does not operate as a retailer, wholesaler, or e-commerce store.
  • Does not guarantee product availability, quality, freshness, or suitability. All products are sourced from independent third-party vendors and stores.
  • Does not guarantee delivery timelines. Estimated delivery times are indicative only and subject to vendor preparation, traffic, weather, and driver availability.
  • Is not a party to the sale transaction between the User and the vendor. SpeedoGo merely facilitates the ordering, pickup, and delivery process.
  • Does not provide or promise insurance for delivered goods unless separately documented.

3. USER ELIGIBILITY & ACCOUNT

3.1 Eligibility
  • Users must be at least 13 years of age to register
  • Users must provide a valid phone number for OTP verification
  • Accounts are non-transferable and non-assignable
3.2 Account Restrictions
  • Fake, impersonated, or duplicate accounts will be immediately suspended
  • Impersonation, scraping, hacking, or API abuse is strictly prohibited under Indian Cybersecurity Laws
  • Company reserves the right to deactivate any account without notice for policy violations

4. ORDERING, FULFILMENT & CANCELLATION

4.1 Order Flow
  1. User selects items and places an order via the SpeedoGo app or website
  2. Order is relayed to the relevant vendor/store for preparation
  3. A delivery partner is assigned for pickup and delivery
  4. If vendor is unable to fulfil (out of stock, closed, etc.), the order may be auto-cancelled with full refund
  5. SpeedoGo acts as a facilitator — the purchase contract is between the User and the vendor
4.2 No Minimum Order

SpeedoGo does not enforce a minimum order value. Delivery fees may apply based on distance and order size.

4.3 Cancellation
  • Users may cancel before the order is picked up by the delivery partner — no cancellation fee applies
  • Cancellation after pickup may attract a cancellation fee covering delivery partner costs
  • Company reserves the right to cancel any order at its sole discretion, including for serviceability, safety, or policy reasons

5. PRODUCT QUALITY, ACCURACY & RETURNS

5.1 Product Disclaimer
  • SpeedoGo does not manufacture, package, label, or inspect any product. All items are sourced from third-party vendors and delivered as-is.
  • Product images, descriptions, and prices displayed are provided by vendors and may differ from actual items received.
  • SpeedoGo makes no warranty — express or implied — regarding product quality, fitness for purpose, freshness, expiry, accuracy of labelling, or merchantability.
  • For perishable items (dairy, produce, bakery), SpeedoGo assumes zero liability for spoilage, temperature damage, or quality degradation occurring before, during, or after delivery.
5.2 Returns & Refunds
  • Refund or replacement requests must be raised within 24 hours of delivery via the app
  • Photo evidence of damage or wrong items is required
  • Refunds are processed at SpeedoGo's sole discretion and may be issued as app wallet credits, not cash
  • SpeedoGo is not liable for any consequential loss, allergic reactions, health issues, or damages arising from product consumption or use

6. PAYMENTS & PRICING

6.1 Payment Methods
  • Online payments via Razorpay Payment Gateway (RBI + PCI-DSS compliant)
  • Cash on Delivery accepted where available
  • Company does not store raw card/UPI PIN/banking credentials
6.2 Pricing
  • Product prices are set by vendors and may vary from in-store MRP
  • Delivery fees, service charges, and applicable taxes are transparently displayed before checkout
  • SpeedoGo reserves the right to modify pricing, delivery fees, and promotional offers at any time without prior notice
  • Pricing logic, delivery fee calculation, and commission structure are Company confidential trade secrets
6.3 Promotional Offers & Coupons
  • Promotional discounts are subject to specific terms and may be revoked at any time
  • Coupon abuse, multi-account fraud, or referral manipulation will result in immediate account suspension and forfeiture of credits

7. DELIVERY PARTNERS

7.1 Independent Contractors

Delivery partners are independent contractors, not employees of SpeedoGo or SPEEDOEXPRESS PRIVATE LIMITED. The Company exercises no employer-level control over delivery execution.

7.2 Delivery Partner Liability
  • Delivery partners are solely responsible for safe, timely delivery and road safety compliance
  • SpeedoGo is not liable for delivery partner conduct, accidents, negligence, delays, or misconduct during delivery
  • Delivery partners indemnify SpeedoGo against all claims arising from their actions

8. VENDOR/STORE PARTNERS

  • Vendors listed on SpeedoGo are independent third-party businesses. SpeedoGo does not own, operate, or control any vendor store.
  • Vendors are solely responsible for product quality, hygiene, packaging, labelling accuracy, FSSAI compliance (for food items), and regulatory adherence.
  • SpeedoGo does not verify, audit, or certify vendor products, licenses, or hygiene standards unless specifically stated.
  • Any disputes regarding product quality, defects, or misrepresentation are between the User and the vendor. SpeedoGo may facilitate resolution at its discretion but is not legally obligated to do so.

9. PROHIBITED ACTIVITIES

Users must not:

  • Abuse, harass, or threaten delivery partners, vendors, or support staff
  • Place fraudulent, fake, or deceptive orders
  • Attempt to order prohibited, illegal, or age-restricted items
  • Manipulate pricing, exploit system bugs, or abuse promotional offers
  • Attempt hacking, scraping, reverse engineering, or unauthorized API access
  • Upload unlawful, obscene, defamatory, or copyright-violating content
  • Use the platform for any purpose other than personal, lawful ordering

10. LIABILITY LIMITATION & INDEMNITY

10.1 Platform Provided "AS-IS"

SpeedoGo is provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 SpeedoGo Shall NOT Be Liable For
  • Product quality, freshness, expiry, contamination, or allergen content
  • Health issues, allergic reactions, food poisoning, or any medical condition arising from product consumption
  • Wrong, missing, damaged, or substituted items delivered by vendor or delivery partner
  • Delivery delays, failed deliveries, or items lost in transit
  • Vendor store closures, stock unavailability, or price discrepancies
  • Accidents, injuries, or property damage during delivery
  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of data, profits, goodwill, or business opportunity
  • Service interruptions, app downtime, or technical failures
10.3 Maximum Liability Cap

In no event shall the total aggregate liability of SPEEDOEXPRESS PRIVATE LIMITED (operating as SpeedoGo) exceed the amount paid by the User for the specific order giving rise to the claim, or INR 500, whichever is lower.

10.4 User Indemnity

Users agree to indemnify and hold harmless SPEEDOEXPRESS PRIVATE LIMITED, its officers, directors, employees, and agents against all claims, damages, losses, and expenses arising from:

  • Fraudulent or fake orders
  • Misuse of promotional offers or coupon exploitation
  • Violation of these Terms
  • Any claim by a third party related to the User's actions
  • Providing false delivery addresses or contact information

11. FORCE MAJEURE

SpeedoGo shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government orders, strikes, riots, internet/telecom outages, vendor closures, or supply chain disruptions.

12. TERMINATION & ACCOUNT DEACTIVATION

Accounts may be terminated without notice for:

  • Fraudulent orders or payment violations
  • Abusive behaviour towards delivery partners, vendors, or staff
  • Repeated cancellations or refund abuse
  • Policy violations or illegal activity
  • Any conduct that undermines platform integrity

Upon termination, all pending wallet credits, promotional balances, and unredeemed offers are forfeited.

13. USER GENERATED CONTENT

By uploading reviews, ratings, photos, or feedback, the User grants SPEEDOEXPRESS PRIVATE LIMITED a perpetual, worldwide, royalty-free, non-exclusive license to use, display, modify, and distribute such content. The Company may moderate or remove content violating IT Rules or community guidelines.

14. INTELLECTUAL PROPERTY

14.1 Ownership

All SpeedoGo branding, logos, UI/UX design, app source code, algorithms, database architecture, pricing logic, and system-generated data are the exclusive property of SPEEDOEXPRESS PRIVATE LIMITED. The SpeedoGo brand, design system, and technology stack are protected under Indian and international intellectual property laws.

14.2 Limited License

Users are granted a limited, non-exclusive, non-transferable, revocable license solely for personal use of ordering services. Users must NOT:

  • Copy, clone, or create derivative works of any SpeedoGo interface or design
  • Reverse engineer, decompile, or reconstruct source code
  • Scrape content, product data, vendor information, or pricing data
  • Use automation, bots, or crawlers without written authorization
14.3 Trade Secrets

The following remain strictly confidential Company trade secrets:

  • Delivery fee calculation and surge pricing algorithms
  • Commission structures and vendor payout formulas
  • Order allocation and routing engine logic
  • Vendor ranking and prioritization algorithms

15. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through SpeedoGo's in-app support and grievance mechanism.

Unresolved disputes shall be subject to binding arbitration seated in Greater Noida, Uttar Pradesh, India, governed by the Arbitration & Conciliation Act, 1996. The arbitrator's decision shall be final and enforceable. Courts in Greater Noida shall have exclusive jurisdiction.

16. SUPPORT & GRIEVANCE REDRESSAL

Support is available via in-app chat, email, and phone. A Grievance Officer is appointed as required under IT Rules, 2021.

17. AMENDMENTS

SpeedoGo reserves the right to modify these Terms at any time. Changes are effective immediately upon posting. Continued use of the platform constitutes acceptance of updated Terms. Users will not receive individual notice for minor amendments.

18. SEVERABILITY

If any provision of these Terms is found unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

19. FINAL USER CONSENT

By using SpeedoGo, the User confirms:

  • They accept all clauses of this Agreement
  • They acknowledge SpeedoGo is a marketplace facilitator, not a retailer or vendor
  • They acknowledge SpeedoGo is not liable for product quality, vendor conduct, or delivery execution risks
  • They consent to data storage and operational data sharing as described in the Privacy Policy
  • They accept binding arbitration in India for dispute resolution
  • They accept the maximum liability cap outlined in Section 10.3
